SOCIAL MEDIA MARKETING SERVICE AGREEMENT

This Social Media Marketing Service Agreement ("Agreement") is entered into between SunnyTires ("Provider"), located at 8525 Atlantic Blvd, and the undersigned client ("Client").

1. TERM AND COMMITMENT

This Agreement shall be effective for a minimum term of twelve (12) months from the date of execution. The Client agrees to maintain services for the full 12-month term. Early termination will result in a cancellation fee equal to 50% of the remaining contract value.

2. SCOPE OF SERVICES

Provider agrees to deliver the social media marketing services as outlined in the selected package. Services include content creation, posting, engagement management, and analytics reporting as specified in the package description.

3. PAYMENT TERMS

Client agrees to pay the monthly fee as specified in the selected package. Payment is due on the 1st of each month. Late payments will incur a 5% late fee after 7 days. Services may be suspended for accounts more than 14 days past due.

4. CLIENT RESPONSIBILITIES

Client agrees to: (a) provide timely access to social media accounts; (b) respond to content approval requests within 48 hours; (c) provide necessary business information and assets; (d) maintain an active credit card on file for ad spend (if applicable).

5. CONTENT OWNERSHIP

All content created by Provider remains the intellectual property of Provider until full payment is received. Upon payment, Client receives a non-exclusive license to use the content for their business purposes. Provider retains the right to use content in their portfolio.

6. RESULTS DISCLAIMER

Provider makes no guarantees regarding specific results including but not limited to follower counts, engagement rates, or sales increases. Social media performance depends on many factors outside Provider's control.

7. LIMITATION OF LIABILITY

Provider's total liability under this Agreement shall not exceed the total fees paid by Client in the preceding three (3) months. Provider shall not be liable for any indirect, incidental, special, or consequential damages.

8. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this Agreement. This includes but is not limited to business strategies, customer data, and financial information.

9. TERMINATION

Either party may terminate this Agreement with 30 days written notice after the initial 12-month term. Early termination by Client will result in the cancellation fee described in Section 1. Provider may terminate immediately for non-payment or breach of terms.

10. INDEMNIFICATION

Client agrees to indemnify and hold harmless Provider from any claims, damages, or expenses arising from content provided by Client or Client's breach of this Agreement.

11. FEES, LEGAL COSTS, AND DISPUTE RESOLUTION

CLIENT AGREES TO BE RESPONSIBLE FOR ALL FEES, COSTS, AND EXPENSES, INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES, COURT COSTS, COLLECTION COSTS, AND ANY OTHER LEGAL FEES INCURRED BY PROVIDER IN CONNECTION WITH ANY DISPUTE, BREACH, OR ENFORCEMENT OF THIS AGREEMENT. In the event of any legal action or proceeding arising out of or relating to this Agreement, the prevailing party shall be entitled to recover all reasonable attorney's fees and costs from the non-prevailing party. Client acknowledges and agrees that any amounts owed under this Agreement that remain unpaid may be subject to collection, and Client shall be responsible for all collection costs and fees.

12. GOVERNING LAW & LEGAL FEES

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Duval County, Florida. CLIENT SHALL BE RESPONSIBLE FOR ALL LEGAL FEES, COURT COSTS, ATTORNEY'S FEES, AND ANY OTHER EXPENSES INCURRED BY PROVIDER IN ENFORCING THIS AGREEMENT OR COLLECTING ANY AMOUNTS DUE HEREUNDER.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to this subject matter.
